BABEL TOKEN Terms of Use

1. Nature of these Terms

1.1 Your licence to use BABEL TOKEN is granted through the App Store and is governed by Apple's Licensed Application End User License Agreement (the "Apple Standard EULA"). These Terms supplement that agreement for matters specific to BABEL TOKEN; they do not replace it.

1.2 If these Terms conflict with the Apple Standard EULA, the Apple Standard EULA prevails to the extent of the conflict.

1.3 You must accept these Terms to use BABEL TOKEN. If you do not agree, please delete the application.

2. What BABEL TOKEN is

2.1 BABEL TOKEN is a tool for storing, organising and copying API keys, access tokens and similar developer credentials ("keys") on your iPhone. It is built for convenience: paste a key to save it, tap to copy it in the format your code needs, and be reminded when it is about to expire.

2.2 BABEL TOKEN does not issue, validate, rotate or revoke keys, and it does not talk to any service provider. Those actions happen in the provider's own console. Expiry dates, rotation reminders, the "hygiene" score and similar indicators are computed only from information you entered; they are aids, not guarantees.

2.3 The provider catalogue built into the app (service names, key-prefix patterns, variable names, console addresses) is reference information compiled from public sources. It may be incomplete or out of date, and it implies no relationship between MNV LIMITED and any provider.

3. Fully offline

3.1 BABEL TOKEN has no networking capability. It connects to no server (we operate none), requires no account, does not sync, and uploads nothing.

3.2 Your keys and related data are stored only on your device and in any backup files you choose to export. MNV LIMITED does not receive, transmit, store or access any of that data, and has no means of obtaining it.

4. How your keys are protected, and what it costs (important)

4.1 Secret values are encrypted on your device with a data key that is generated at random the first time the app runs. By default that data key is kept in the iOS Keychain, so there is nothing to set up and no password to remember.

4.2 Whether the Keychain entry follows you to a new iPhone is decided by iOS, not by us. Encrypted computer backups and iCloud Backup normally carry it across; unencrypted computer backups do not; and if you turn on the app's strict mode, the entry is bound to this device and is never included in any backup.

4.3 You may optionally add a master password and/or a 12-word recovery phrase (together, the "safety net"). Either one can unlock your secrets on a device where the Keychain entry is missing. You alone hold them.

4.4 MNV LIMITED holds no copy of your data key, master password or recovery phrase, maintains no backdoor, master key or key escrow, and has no technical means of bypassing this encryption.

4.5 If the Keychain entry is lost and you have set neither a master password nor a recovery phrase, the encrypted secret values in your vault cannot be decrypted by anyone — not by you, not by MNV LIMITED, not by Apple. The only way to get them back is a backup file you exported earlier. This is a consequence of the design, not a policy choice.

4.6 You agree that exporting backups regularly, checking that they open, and safeguarding any master password or recovery phrase you set, are your responsibility. You further agree that MNV LIMITED bears no liability for any data loss arising from a lost Keychain entry, master password, recovery phrase or backup.

5. The keys belong to someone else's service

5.1 The keys you store are issued by third parties under their own terms. You are responsible for complying with those terms, for using keys only within the permissions they grant, and for revoking a key at the provider if you believe it has been exposed.

5.2 Copying a key places it on the system clipboard, from where any app you paste into — and, if you allow Universal Clipboard, your other Apple devices — can read it. Where you paste a key is your decision.

6. No security guarantee

6.1 BABEL TOKEN is provided "as is" and "as available", without warranty of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 We use widely accepted standard cryptographic algorithms (listed in the in-app "Encryption & export compliance" page), but we do not warrant that the application, your device or your data cannot be compromised. No information security is absolute. In particular, we accept no liability for: compromise, jailbreaking or malware on your device; vulnerabilities in the operating system or third-party components; weak master passwords you choose; where you paste a key after copying it; or backup files you store in insecure locations.

7. Limitation of liability

7.1 To the maximum extent permitted by applicable law, MNV LIMITED shall not be liable for any indirect, incidental, special, punitive or consequential damages — including without limitation loss of data, loss of profits, service interruption, or charges incurred on a third-party account through a key that was exposed — even if advised of the possibility of such damages.

7.2 Our aggregate liability is capped as provided in the Apple Standard EULA.

7.3 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence. Your rights under the Hong Kong Control of Exemption Clauses Ordinance (Cap. 71) and other applicable consumer protection laws are unaffected.

8. Encryption and export control

8.1 BABEL TOKEN contains encryption functionality, implemented entirely with published standard algorithms from Apple's system frameworks. For the purposes of the US Export Administration Regulations, the application is self-classified as ECCN 5D992.c under Note 3 to Category 5 Part 2 (the mass-market note) and requires no export licence. 8.2 You agree to comply with all applicable export control laws and confirm that you are not located in an embargoed or sanctioned country or region, and are not on any restricted party list.

9. Governing law and disputes

9.1 These Terms are governed by the laws of the Hong Kong Special Administrative Region. Except as provided in Section 10, the parties submit to the non-exclusive jurisdiction of the Hong Kong courts.

10. Addendum for United States residents (applies only to users in the US)

10.1 Agreement to arbitrate. You and MNV LIMITED agree that any dispute arising out of these Terms or BABEL TOKEN shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with the arbitration taking place in the county where you reside. To the extent the AAA rules allow, the proceeding may be decided on documents or held by telephone or video, so you do not need to travel.

10.2 Fees. MNV LIMITED will pay any AAA filing, administration and arbitrator fees that exceed what it would cost you to file the same claim in your local court, except for claims brought in bad faith or for harassment.

10.3 Class action waiver. You and MNV LIMITED each waive any right to bring claims as a class, collective, consolidated or representative action. The arbitrator may award relief only to the individual party seeking it.

10.4 Small claims exception. Either party may elect to bring a qualifying dispute in small claims court instead, and this Addendum will not apply to it.

10.5 Right to opt out. You may opt out of Sections 10.1 to 10.3 within 30 days of first accepting these Terms by emailing support@babeltoken.com with the subject line "Arbitration Opt-Out". Opting out does not affect the rest of these Terms or your use of BABEL TOKEN.

10.6 Severability. If the class action waiver in Section 10.3 is held unenforceable, then Section 10 does not apply in its entirety and disputes proceed under Section 9.

11. Changes

11.1 We may update these Terms. Where changes are material, the application will ask you to accept them again before you continue.
